It’s Extremely Difficult for Anyone to Pierce Your Nevada State Corporate Veil
When you form a corporation, whether it’s in Nevada, California, Texas or wherever, you must follow certain corporate formalities. Remember, a nevada state corporation can do everything you can do except act or think, so it does those things through your board of directors, officers and shareholders. If your corporation does not keep accurate records of meetings by minutes, and if the corporation commingles funds, it makes it easier for someone to pierce your corporate veil if the corporation is involved in a lawsuit.
Low capitalization is another reason why corporate veils get pierced. In some states, like California, we recommend that you capitalize your corporation with at least $1,000. If you don’t, it’s easier for someone to prove that you are simply the alter ego of the nevada state corporation (one and the same as the corporation), and then pierce your corporate veil! How does Nevada feel about this? Nevada is called a “thin capital state,” meaning you can form a corporation in Nevada for as little as $100. Also, Nevada has a certain attitude about piercing the corporate veil, which is why major corporations domicile in Nevada. Let’s explain.
The Nevada State Test – Trying to Pierce the Corporate Veil
First, in Nevada, anyone trying to sue you must pass a three-prong test. They must prove all three parts to pierce your corporate veil:
The corporation must be influenced and governed by the person asserted to be the alter ego.
There must be such unity of interest and ownership that one is inseparable from the other.
The facts must be such that adherence to the corporate fiction of a separate entity would, under the circumstances, sanction fraud or promote injustice.
The burden of proof for all three “general requirements” is on the plaintiff who is seeking to pierce the veil, and a failure to prove any of the three will result in your veil not being pierced! Essentially, Nevada says that unless they can prove fraud, your corporate veil will not be pierced. That is awesome protection.
Nevada State Corporation – Case In Point
The landmark case that proves this point is the case of Roland vs. Lepire (1983). We recommend that you keep accurate corporate records to protect your corporate veil, and make sure you have adequate capitalization as well. In Roland, the corporation had a negative net worth at the time of the trial so it was clear it was inadequately capitalized. On top of that, the corporation never held formal directors or shareholders meetings, never started or kept a corporate minute book, never paid dividends, and didn’t pay salaries to the officers or directors. On the other hand, the corporation managed to secure a corporate checking account, as well as a general contractor’s license and a framing contractor’s license, “both in its name”.
What happened? The court concluded that, “Although the evidence does show that the corporation was undercapitalized and that there was little existence separate and apart from [the two key shareholders]evidence was insufficient to support a finding that appellants were the alter ego of the corporation.” The Nevada Supreme Court has made clear that unless the plaintiff acting against you is able to meet the burden of proving that “the financial setup of your corporation is only a sham and caused an injustice, ” your veil is unlikely to be pierced.
The Nevada state corporation appears as an “Iron Fortress” to creditors. In fact, the corporate veil has only been pierced two times in Nevada in the last 23 years! And that was a case where the corporation was actually doing business in Nevada and had committed fraud against a Nevada resident.

Boston Vacations: Four Ways To Experience Beantown
Boston is a great destination city for a vacation. There’s plenty on tap to see and do, and it’s an easy city to get around on foot. And you’ll find Boston vacations a refreshing mixture of old and new.
You can experience the start of the revolutionary war, take a bus on a river, and see a coral reef – and all before dinner.

A SPLISH-SPLASH DUCK TOUR
One of the best, and most unique tours is the Duck Tour ride.
The tour is done in a renovated World War II amphibious vehicle. You get to not only experience Boston from the streets of the city, but also from the Charles River.
That’s right, during the tour, the bus you’re on will become a boat, and you’ll see the beautiful Boston skyline from the river that separates Boston from Cambridge.
You can pick-up and buy tickets for the tour at two places: The Museum of Science, and The Prudential Center in Boston’s Back Bay. During the summer the tours are usually sold out by lunchtime. The tour lasts about 80 minutes, and there’s no stops.
It’s a great tour and you’d have to be “quackers” not to do it! Sorry couldn’t resist it.
THE FREEDOM TRAIL
The Freedom Trail is a 2.5 mile easy-to-follow red brick line that links 16 historical sites together around the streets of Boston. It’s a one-way route starting from Boston Common and ending up at the Bunker Hill monument in Charlestown.
If you do the whole thing, plan on at least 2–3 hours, or better still take the whole day. You’ll pass by many landmarks on your trip, such as: The Boston Common, Boston Massacre Site, Paul Revere’s House, and USS Constitution.
The route takes you through Boston’s famed North End, where you’ll be sure to return during your Boston vacations to sample the superb Italian restaurants.
THE NEW ENGLAND AQUARIUM
As San Diego has its world famous zoo, then Boston has the New England Aquarium.
New England and its coastline have a history of fishing and whaling. But today instead of slaughtering whales, New Englanders spend most of their time saving them.
And the aquarium is a vital link in the area’s ocean preservation movement.
The centerpiece of the aquarium is the giant tank. The floors of the aquarium run around the tank and up four levels. At the top you get to peer down into a coral reef and listen as the staff explain about the tank and the fish that live in it.
You’ll get the answer to questions such as: “Why don’t the big shark fish eat the little tasty fish?” or “How old are those huge sea turtles swimming around down there?”
Your ticket will include a visit to the Discovery next to the main building, where you can see and learn about sea lions during an amazing show. A few years ago the Aquarium opened an IMAX theater that shows a mixture of sea-related and general science films.
A word of warning – this is a favorite Boston vacations attraction for families. But you’ll always get in, even when the ticket line seems to stretch for miles.
BEACON HILL
Sandwiched in a small area between Boston Common, and the Charles River, are alleys and narrow red brick cobbled streets, where time has stood still for the last century.
This is Beacon Hill, and one of the most popular walks for people on their Boston vacations.
Quiet and bewitching, it’s a delight to walk. You’ll find walled gardens and an authentic 19th century neighborhood feel. Even the original gas lights remain on streets lined with ancient elms.
A favorite haunt for taking pictures is Louisburg Square. A picturesque block of residences perfectly preserved.
After you ramble up Mount Vernon street, wind your way back across to the Massachusetts State House that sits atop Beacon Hill and get your camera out again.

Nursing Students - How To Go To Nursing School And Work Full-Time …
For most nursing students, one of the biggest challenges of going to nursing school is finding a way to survive without a paycheck for several years.
It’s a little easier for students who have just graduated from high school and still have financial support from their parents, but for older nursing students who may have a family, a mortgage or rent, car payments, and grocery bills…surviving for three or four years without a paycheck is a huge financial burden.
Traditional nursing schools require massive amounts of memorization of complex topics involving science and mathematics. They are so intense that it is nearly impossible for students to succeed in their classes and also work full-time. Students who try to do this usually flunk out. Even working part-time while attending a traditional nursing school is a quite a burden.
This is where online nursing schools offer such a huge advantage. They allow students to progress at their own pace, and students can stretch out the length of the program and simply take less classes each semester, so that they can work part or full-time and still have enough time to take their nursing classes online, study, and take tests.
Generally speaking, for each year that the student is attending the program, there is an additional fee that must be paid to stay in the program (along with the course fees). It’s not very big, and it’s a small price to pay for being able to spend enough time on each course so you can have time to study, and pass the class, rather than rushing through and risking failure.
Also online nursing students can take classes at a time that fits in their schedule; they can generally check in on their classroom modules at whatever time is convenient for them. As long as they complete their coursework and take their tests and quizzes within the time frame required by the instructor, they can do this at whatever time of day or night works for them, including weekends.
And another benefit - if the online nursing school student flunks a class, they can retake it. And, while failing a class is unpleasant and expensive, because the student will have to pay to retake the class, at least they will know where their strengths and weakness are in that class, and they can seek tutoring or help from an online study group. In traditional nursing schools, generally, if a student fails a class, they are kicked out of the program!
One important note: to get an Associate’s Degree in Nursing, you will have to already be a Licensed Practical Nurse or a Paramedic, or, in some states, respiratory therapists are permitted to participate in these programs. However, to become licensed as an LPN, paramedic, or respiratory therapist generally only takes about a year. Then you can take an LPN to RN online course, paramedic to RN online course, etc., as long as your state board of nursing permits it.
And - added bonus - there is a very good chance that your employer will pay for some or all of your online schooling! Make sure you check with your employer to see if that is an option.
